1. Acceptance of Terms


By accessing this website, enrolling in training, purchasing products, or engaging in any service provided by Merkabah Management Systems (“MMS”, “we”, “us”, “our”), you agree to be bound by these Terms & Conditions.

If you do not agree, please discontinue use of our website and services.


2. Services Provided


MMS provides a range of products and services including (but not limited to):


  • AI education and training
  • Merkabah Management Systems courses
  • AI Certs aligned programs
  • Business transformation consulting
  • Leadership and enterprise frameworks
  • Digital products, downloads, and resources
  • Webinars, workshops, and events
     

MMS reserves the right to update, modify, or discontinue any service at any time.


3. Eligibility


To engage in our services, you must:


  • Be at least 16 years old, or
  • Have explicit parental/guardian consent, an
  • Have the authority to enter into a binding agreement
     

By using our services, you confirm that all information provided is accurate and truthful.


4. Pricing, Payments & Billing

4.1 Pricing


All prices are listed in AUD unless stated otherwise.
Prices may change at any time at our discretion.


4.2 Payments


We use secure third-party payment processors such as:


  • Stripe
  • PayPal
  • Other authorised merchant providers
     

We do not store full credit card details.


4.3 Taxes


Where applicable, prices may be subject to GST.


5. Training Enrolment & Access


When you enrol in a course, you are purchasing a non-transferable licence to access the training materials.

You agree that:


  • Logins cannot be shared
  • Course content cannot be copied, resold, or distributed
  • Access durations may vary depending on the program
  • Certification may require completing assessments
     

MMS reserves the right to suspend or remove access if we detect misuse.


6. Refunds & Cancellations


We adhere to Australian Consumer Law and aim to be fair and transparent.


6.1 Refund Eligibility


Refunds may be granted when:


  • A service is not delivered as advertised
  • A major fault or defect exists
  • A digital product is malfunctioning
  • Duplicate transactions occur
  • Required by Australian Consumer Law
     

6.2 Non-Refundable Items


Refunds do not apply if:


  • You change your mind
  • You decide the training is no longer personally relevant
  • You fail to complete the course
  • You misuse or breach the Terms
  • Access has already been granted and used
     

6.3 Events & Workshops


For in-person or online events:


  • Cancellations require reasonable notice
  • No-shows may not receive refunds
     

You may request a credit or transfer depending on availability.


7. Intellectual Property


All content provided by MMS - including text, images, diagrams, videos, logos, branding, frameworks, course content, downloads, and training materials - is protected under Australian copyright law.

You agree not to:


  • Copy or reproduce content
  • Sell or redistribute materials
  • Republish or rebrand any part of the system
  • Use content to create derivative training products
  • Claim MMS frameworks as your own
     

You may:


  • Reference our materials with attribution
  • Apply the tools within your own organisation
  • Use the training for personal and professional development
     

All rights remain with MMS.


8. User Obligations


You agree to use our website and services responsibly.
You must not:


  • Interfere with website security
  • Upload malicious code
  • Impersonate another person
  • Post defamatory or inappropriate content
  • Violate Australian law (spam, copyright, fraud, etc.)
  • Attempt to access systems you are not authorised to access
     

Any misuse may result in suspension or legal action.


9. Limitation of Liability


To the fullest extent permitted by law:


  • MMS is not liable for any indirect or consequential loss
  • MMS is not responsible for technical interruptions or system downtime
  • MMS does not guarantee specific business, financial, or personal outcomes
  • All tools, frameworks, and methodologies are provided “as-is” for guidance and education
  • You are responsible for applying the information appropriately
     

Nothing in this clause excludes your rights under Australian Consumer Law.


10. Links to Third-Party Sites


Our website may include links to external websites, partners, and tools (e.g., AI Certs, LMS portals, CRM systems).

We are not responsible for:


  • The content of third-party sites
  • Their privacy practices
  • Their security
  • Their accuracy or reliability
     

You access third-party sites at your own discretion.


11. Account Security


If you create an account with us, you are responsible for:


  • Keeping your password secure
  • Maintaining confidentiality
  • Not sharing access with others
     

Notify us immediately of any suspected breach.


12. Termination of Service


We may suspend or terminate access if:


  • Terms are violated
  • Payment is overdue
  • Misuse, fraud, or unauthorised access occurs
  • Illegal behaviour is detected
  • Platform misuse is identified
     

You may also request cancellation at any time.

These Terms & Conditions are governed by the laws of New South Wales, Australia, and any disputes shall be resolved under NSW jurisdiction.

1. Our Commitment


Merkabah Management Systems (“MMS”, “we”, “us”, “our”) is committed to fairness, transparency, and compliance with the Australian Consumer Law (ACL).

We aim to provide high-quality training, consulting, digital products, and enterprise frameworks.
If something goes wrong, we’re here to fix it.


2. Your Rights Under Australian Consumer Law


Under the ACL, you are entitled to a refund or replacement if a service or product has a major failure, including:


  • It is not delivered as advertised
  • It is unsafe
  • It is significantly different from what was described
  • It fails to meet consumer guarantees and cannot be rectified within a reasonable time
     

Services must be delivered with:


  • due care and skill
  • within a reasonable timeframe
  • matching their advertised description
     

We honour all obligations required by law.


3. When Refunds Are Provided


You may be eligible for a refund, credit, or alternative remedy when:


3.1 Training & Courses


  • A course is not delivered as advertised
  • Technical issues prevent access and cannot be resolved
  • You accidentally purchased the same product twice
  • There is a major fault in the content or system
  • We cancel or postpone a course significantly
     

3.2 Digital Products


Given the nature of digital goods, refunds apply only if:


  • The file is corrupted or unusable
  • You were charged twice
  • A major defect exists in the product
  • The product was not delivered or accessible
     

3.3 Consulting & Enterprise Services


Refunds or partial refunds apply if:


  • A service is not delivered
  • A material error occurs
  • MMS cancels the service
  • There is a major failure to meet agreed obligations
     

3.4 Events, Webinars & Workshops


Refunds may be issued if:


  • MMS cancels or reschedules the event
  • Technical failures made participation impossible
  • A major issue occurred that prevented delivery
     

4. When Refunds Are Not Provided


In line with standard business practice and the ACL, refunds are not issued for:


❌ Change of mind

❌ Change in personal circumstances

❌ Deciding the course is no longer relevant

❌ Failure to complete the training

❌ Purchasing a digital product and later regretting it

❌ Not using the service after purchasing it

❌ Access already granted and used


This includes:


  • Downloaded products
  • Completed modules
  • Viewed lesson content
  • Used frameworks or templates
     

5. Processing Refunds


To request a refund, contact:

  • Your full name
  • Email used for purchase
  • Order or invoice number
  • Brief explanation of the issue
     

Refund requests will be assessed within 7–14 business days.

If approved, refunds are processed back to the original payment method.


6. Credits, Transfers & Rescheduling


Where a refund does not apply, we may offer:


  • Course credit
  • Transfer to another program
  • Access extension
  • Event rescheduling
     

This is assessed on a case-by-case basis with fairness and goodwill.


7. Duplicate Payments & Billing Errors


If you were charged twice or charged incorrectly, we will issue a full refund immediately once verified.


8. Cancellations by MMS


If MMS must cancel, postpone, or significantly modify a service:


  • You will be offered a full refund, OR
  • A free transfer to another date, OR
  • A credit of equal value
     

You can choose the option that suits you best.


9. Dispute Resolution


We aim to resolve issues quickly and respectfully.

If you are not satisfied with the outcome, you may contact:

NSW Fair Trading
or
The Australian Competition and Consumer Commission (ACCC)

as part of your ACL rights.
